DealerWatchSM LLC

DealerWatchSM LLC Terms of Service v1.0 DealerWatchSM LLC provides monitoring, reporting, gateway, integration, notification, and dashboard services subject to these terms. DealerWatchSM LLC reserves the right to suspend, restrict, disable, or terminate access to the DealerWatchSM platform, services, gateways, integrations, API features, monitoring, reporting, notifications, and user accounts for non-payment, failed payment, chargeback, violation of agreement terms, suspected misuse, security concerns, or any other reason permitted under these terms. Customer is responsible for all fees, charges, taxes, third-party API costs, manufacturer licensing costs, cloud subscription costs, gateway costs, and related expenses required to use DealerWatchSM or any connected third-party services. DealerWatchSM LLC is not responsible for service interruptions, disabled monitoring, missed notifications, loss of access, or reporting interruptions resulting from non-payment, expired manufacturer subscriptions, expired API access, disabled third-party integrations, or unpaid account balances.

DealerWatchSM Monitoring Service Acknowledgment v1.0 DealerWatchSM is a monitoring and reporting platform that relies on information received from third-party manufacturer APIs, webhooks, gateway polling, network polling, and external systems. DealerWatchSM does not control the availability, accuracy, timing, order, completeness, or reliability of third-party API data, webhook data, manufacturer cloud services, customer networks, internet service providers, or monitored devices. Alerts, statuses, reports, dashboards, and notifications may be delayed, incomplete, inaccurate, duplicated, received out of order, or unavailable. DealerWatchSM should not be used as the sole source for life-safety, emergency response, regulatory compliance, access control decisions, fire alarm decisions, intrusion alarm decisions, or any other critical safety or security determination. Customer is responsible for independently verifying system status, device status, alarm conditions, outages, and service-impacting events before taking action.

DealerWatchSM Software License Agreement v1.0 DealerWatchSM LLC retains all ownership rights, intellectual property rights, source code rights, software rights, trademarks, service marks, documentation rights, and derivative work rights related to DealerWatchSM. Customer receives a limited, revocable, non-exclusive, non-transferable license to use DealerWatchSM only as permitted by DealerWatchSM LLC. Customer may not reverse engineer, copy, redistribute, resell, sublicense, decompile, modify, or attempt to access DealerWatchSM source code or protected software logic.

DealerWatchSM Third-Party API Responsibility Agreement v1.0 DealerWatchSM integrates with third-party manufacturers through APIs, webhooks, SDKs, cloud services, gateways, and other published or authorized interfaces. DealerWatchSM LLC does not own, operate, control, guarantee, or provide those third-party APIs or services. Customer is solely responsible for obtaining and maintaining any required API access, manufacturer approval, cloud subscription, SDK license, gateway license, authentication credential, webhook access, token, manufacturer support agreement, or other third-party access requirement. Customer is solely responsible for all costs imposed by third-party manufacturers or service providers. DealerWatchSM LLC does not guarantee the continued availability, functionality, compatibility, performance, pricing, or terms of any third-party API, cloud service, SDK, or integration.

DealerWatchSM Privacy Policy v1.0 DealerWatchSM may collect and store user information, company information, email addresses, phone numbers, IP addresses, device names, device serial numbers, network addresses, system logs, webhook records, gateway records, audit logs, configuration records, diagnostic information, and monitoring results. DealerWatchSM uses this information to operate, secure, support, troubleshoot, audit, and improve the DealerWatchSM service. DealerWatchSM LLC does not sell customer data to third parties.

DealerWatchSM Acceptable Use Policy v1.0 Customer agrees not to misuse DealerWatchSM, attempt unauthorized access, bypass security controls, share credentials improperly, abuse APIs, overload systems, interfere with monitoring, reverse engineer protected functionality, upload malicious content, or use DealerWatchSM for unlawful activity. DealerWatchSM LLC may suspend, restrict, or terminate access for violations of this policy.
